Business Governance

Governance is the term business attorneys use to cover those tasks that you must perform to create and maintain your business entity.  Without proper governance you may lose any liability protection your business provides.  Your business entity may take on many forms, from partnerships to corporations.  Each type of entity has different rules as to how they are created, what you need to perform to maintain them, and to meet IRS and state regulatory bodies' requirements.  Also to consider at this stage are the legal and financial interests that members will hold, classifications of shares and interests, transfer of tangible property such as equipment as well as intangible property such as patents, buy back agreements, new members, resigning members, employee contracts, dissolution, and so much more.  I can work with you to make sure that your business is on a solid foundation and that agreements formed at this stage will carry your business through the legal storms that will come.

Common Business Activities

There is a lot that you, as an owner, have to pay proper attention to, on a daily basis, in order to keep the business moving forward.  Turning your attention away from these matters may create serious future problems which will require excessive time, money, and effort to resolve.  This includes contract negotiation, collections, non-disclosure, non-complete, and severance employee agreements, hiring and firing, joint venture agreements, and more.  I can help you to deal with these issues up front before they become a costly legal issue later on.  The old saying, “An ounce of prevention is worth a pound of cure”, is excellent business advice, follow it.

Intellectual Property
